This club membership is not an investment, a security, or a promise of any future profit. The profit-sharing aspect of this club is a an incentive and not a guaranteed return on your membership fee. All yearly rewards payments are dependent on the financial performance of 420 Strong Corp, and there is risk that the company may not be profitable. By becoming a member, you accept the risk of receiving no yearly distribution payment. Members are not shareholders, and this membership offers no equity in the corporation supporting the 420 Smoke Club.

The corporation's business model, in part, is dependent on membership fees to fund it's operations and the launch of the 420Kone brand. There is no guarantee that sufficient funds will be raised through the membership program.

Because the company is involved in the cannabis industry, it is subject to the federal tax code known as Section 280E. This prohibits cannabis businesses from deducting most ordinary business expenses from their taxable income, resulting in a higher effective tax rate. This will impact the company's profitability and, consequently, the amount of money available for profit-sharing.

420 Strong Corp is committed to responsible marketing and does not promote cannabis to minors. Our advertising adheres to all state-level regulations and avoids unsubstantiated health claims or encouraging overconsumption. However, as an evolving industry, marketing regulations may change, and the corporation accepts all risk of potential penalties for non-compliance.

420 Strong Corp is a privately held corporation. Membership does not grant any voting rights or control over the corporation's management or strategic decisions. The corporation's executives and affiliated businesses may engage in transactions or ventures that could create conflicts of interest. The corporation is committed to disclosing such conflicts when they arise.

420 Smoke Club collects personal information from members during the sign-up process. We are committed to protecting member privacy and using this data only for club-related purposes, such as communication and profit distribution. However, given the federal illegality of cannabis, member data could be subject to compelled disclosure through subpoena or other legal processes.
